This confirms the terms and conditions for engagement of Robinson & Associates to provide resume search services for Client Company with the following rates:

Company agrees that Robinson & Associates is not liable for direct, consequential, or punitive damages relating to services, except for failure to perform services specified in this agreement. Failure to perform is defined as the non-delivery of search services, but shall expressly exclude a search which has been performed, but produces limited results. In the event of a breach by Robinson & Associates, our liability shall be limited to the extent of reimbursing the monies paid by the Company.

If either Company or Robinson & Associates is required to initiate legal action, the successful party shall be entitled to reimbursement from the non-successful party for its actual attorney fees and costs, in addition to statutory fees, penalties, bill of costs, etc.

Upon completion of services, you will receive an invoice due and payable upon receipt, unless other payment terms have been previously agreed and specified on the invoice. Additionally, the Company agrees and acknowledges that the invoice will provide the assessment of late charges at the rate of 1.5% per month for each part of any month following the receipt of said invoice.

The Company acknowledges and agrees there are no other contracts, warranties, representations, oral or written with regard to Robinson & Associates delivery of services and amendments may only be in writing, signed by both parties.

This agreement shall be governed and construed in accordance with the laws of the State of Arizona.
